10. Commitment Fee Refundability
The Commitment Fee is refundable only in the event that Fracct, at its sole discretion, decides not to proceed with the Loan, despite the Borrower having fulfilled all conditions precedent and having provided all required documentation within the agreed timelines, and where no material adverse changes have occurred.
The Commitment Fee shall not be refundable in any of the following cases:
The Borrower withdraws from the transaction for any reason;
One or more conditions precedent are not satisfied within the required timeframe;
The Borrower fails to provide necessary documentation, information, or third-party approvals as required;
A material adverse change occurs in the Borrower’s financial, legal, or commercial position;
The Loan cannot proceed due to factors outside of Fracct’s responsibility or control.
Any reimbursement of the Commitment Fee is subject to Fracct’s internal credit process and final written approval.
